Utah’s Secretary of State requires companies to file annual reports not only to keep track of the businesses conducting business in their state but to document structural changes that have occurred over the past year. Annual renewals inform the state of any changes to your corporate structure, such as a change in your governing board. The forms also inform the state of any changes to your correspondence, such as a change in address or a change in your registered agent.

Utah businesses must file their reports by their company’s exact anniversary date. This is the date that Utah recognized them as a legal entity. If they do not submit their annual reports by this date, the Secretary of State will consider the company delinquent. Once delinquent, a company will receive another 30-day extension. If you file within this 30-day extension, the state will lift your delinquent status and you can continue operating your business. Utah will assess a $10 late fee if you miss the deadline. There is no initial reporting requirement when a company is first attempting to gain legal status in the state.

How to File Your Utah Secretary of State Annual Report

In order to file your annual report, simply visit the Secretary of State website and access the Annual Business Report page. You’ll log in with the entity number and renewal ID number that was provided when your company was formed. From there, fill out the information and submit the form along with the filing fee using the online system.
