Utah’s Secretary of State requires companies to file annual reports not only to keep track of the businesses conducting business in their state but to document structural changes that have occurred over the past year. Annual renewals inform the state of any changes to your corporate structure, such as a change in your governing board. The forms also inform the state of any changes to your correspondence, such as a change in address or a change in your registered agent.

Utah businesses must file their reports by their company’s exact anniversary date. This is the date that Utah recognized them as a legal entity. If they do not submit their annual reports by this date, the Secretary of State will consider the company delinquent. Once delinquent, a company will receive another 30-day extension. If you file within this 30-day extension, the state will lift your delinquent status and you can continue operating your business. Utah will assess a $10 late fee if you miss the deadline. There is no initial reporting requirement when a company is first attempting to gain legal status in the state.

The annual renewal is due the exact date you registered as a business with the state of Utah. For example, if you registered as a Utah LLC on January 18, 2018, your first annual renewal will be due on January 18, 2019.

The state of Utah will send correspondence a few weeks before your deadline to let you know that you will soon need to file your paperwork. Your entity number and renewal ID will be with this reminder.

Utah allows companies to begin filing their renewal notices 60 days before the expiration date.

If you miss the deadline to file your annual renewal notice, the Utah Secretary of State will place your business on delinquent status. They will then grant you a 30-day grace period to file the report.
