If you own a corporation or an LLC, you likely will not have to pay a filing fee. However, are still required to file a report by December 31. Minnesota is unique in that there are no fees for their annual reports. The only type of business required to pay a fee is a foreign corporation, who must pay $135 to file a report with the Secretary of State’s Office. Partnerships are not required to file an annual report in Minnesota. The state does not have a late filing fee, but you will need to pay $45 to reinstate your business if the state dissolves you.

How to File Your Minnesota Secretary of State Annual Report:

Minnesota makes it easier than many other states to file your Annual Renewal. To do so, visit the Minnesota Secretary Of State Website and click on the tab that says “File an Amendment or Renewal”. From here, you simply fill out the information on the form and submit it.

Minnesota Business Annual Report FAQS

For most businesses there will be no filing fee associated with the Minnesota Annual Renewal. There are just a few exceptions to this:

  • Foreign Corporations – $115 by mail or $135 online
  • LLPs – $135 by mail, $155 online
  • Charities – $25

All other businesses will be able to file for free.


The deadline to file is December 31 of each year. You may file at any point throughout the year, as long as the report is filed by the last day of the year.

If you fail to file the report by the end of the year, you will have to pay a $25 reinstatement fee. This is $45 if filed online. Charities have a $50 penalty if they fail to file. Additionally, more serious penalties such as revocation of the business’ ability to operate may also occur if you don’t file a renewal. This can bring additional costs for reforming the business.
