Domestic corporations and nonprofits are required to file by March 1st, while foreign corporations and nonprofits have a later deadline of June 30th each year. Annual Report Filing Methods for Delaware Corporations

Though Delaware LLCs and Partnerships need not file a report and instead pay a simple $300 tax, Delaware corporations differ. There are two different ways for corporations to file an annual report in Delaware.

The first method is the Authorized Shares Method. This method is best for corporations that have no par value stock. Using this method means they will pay a lesser tax. The equation for this method is as follows:

  • 5000 shares or less (minimum tax) - $175.00
  • 5001 to 10,000 shares – $250.00
  • Each additional 10,000 shares or portion thereof adds– $85.00
  • Maximum annual tax is $200,000.00

The other way corporations in Delaware can file is called the Assumed Par Value Capital Method. Corporations using this method will be required to give numbers for all issued shares and total gross assets:

  1. Divide total gross assets by total issued shares, carrying the result 6 decimal places. The resulting number represents the assumed par value.
  2. Multiply the assumed par by the number of authorized shares using only those with a par value that is less than the assumed par.
  3. Multiply the assumed par value by the number of authorized shares with values greater than the number above.
  4. Add the numbers attained from steps 2 and 3. This is the assumed par value capital.
  5. Figure the tax by dividing the assumed par value capital, rounded to the next million if over a million. Then multiply by $400.00.
  6. The minimum tax for the Assumed Par Value Capital Method is $400.00.
