When it comes to filing annual reports, businesses in Ohio have it much easier than businesses in other states. Many businesses in the state do not have to file annual reports. However, there are a few specific companies who must file biennial reports to ensure that their business is still in operation. Companies should use these biennial reports to report any significant changes to their company, such as a change to their corporate structure or to their registered agent.
Ohio professional corporations and professional associations, domestic and foreign limited liability partnerships, domestic and foreign nonprofits, and charities are all required to submit a biennial report. Ohio does not have an initial reporting requirement, so you will not have to file a report when first founding your business.
If a company does not file their biennial report on time, the state of Ohio will not assess any late fees. The company will be at risk of being administratively dissolved. If you have not filed your most recent report, it’s important that you do so as soon as possible so that you do not lose your business.

Ohio Biennial Business Report FAQs
The filing fee is $25 for all businesses that are required to submit a business report. This is in addition to any registration or licensing fees or any other costs that you may have to pay to keep your business operational.
Biennial reports are due by July 1, and can be filed between April 1 and July 1 of each year. However, the year you must file depends upon the type of business:
- Domestic PCs and PAs must file on even-numbered years
- Domestic and foreign LLPs file in odd-numbered years
Additionally, nonprofits must file every five years during their anniversary month, while charities file by May 15th.
While there are no late fees or penalties for failure to file, if you continue to remain noncompliant, the Ohio government will revoke your business’ ability to operate within a few months of delinquency. This can cause you to incur larger costs such as re-forming and re-licensing your business in the state.
No, the State of Ohio has no initial report requirements for new businesses.
Reports must be signed by an officer, partner, or other authorized representative of your business prior to being filed.
