Businesses who operate in the state of North Carolina must file an annual report to update state officials on any significant structural changes that have occurred with the business. Businesses file their annual reports with the Secretary of State’s office. The North Carolina Secretary of State makes it easy to file an annual report, but not doing so could have serious consequences.

If you do not file an annual report on time, the state of North Carolina will send you a “Notice of Grounds for Administrative Dissolution.” If you do not file your report within 60 days, your business will be dissolved. If you have missed an annual report and have since undergone administrative dissolution, you will need to submit the report when you file your application for reinstatement with the Secretary of State’s office. Businesses can search on the North Carolina Secretary of State website to find out if their filings are up to date.

North Carolina Business Annual Report FAQS

North Carolina requires almost all businesses to submit an Annual Report to the Secretary of State. This includes profit corporations, domestic LLCs, and even charities. However, nonprofit organizations are not required to submit an annual report.

The filing fee varies depending on the type of business and the method of filing the annual report:

  • Profit Corporations – $20, $25 if filing by mail
  • LLCs – $202, $200 if filing by mail
  • Charities – From $0 up to $200, depending upon the amount of contributions made to the charity

The filing deadline for corporations is the 15th day of the 4th month after the end of the fiscal year. In general, this will be April 15th.

For LLCs, the filing deadline is April 15th regardless of fiscal years. Additionally, charities must file by the anniversary date of their license each year.

No, the State of North Carolina does not assess any late fees. However, you will receive a notice that the state is going to dissolve your business if you don’t file your report. From the date of the letter, you have 60 days to file or your business will be dissolved, which will bring other fees and penalties.

While the report can be prepared by any authorized person, an officer, member, manager, partner, or director is required to electronically sign the annual report before it is submitted.
