Any business registered in Tennessee is required to submit an annual report to the Secretary of State each year. Tennessee requires businesses to do this for two reasons. One, it allows the state to see which businesses are still actively operating in their state. Two, it allows the state to gather critical information about a company’s corporate structure and contact information.

The state of Tennessee requires that you submit your annual report by the first day of the fourth month after the end of your fiscal year. If your fiscal year ended on December 31, 2017, your annual report would have been due on April 1, 2018. This tends to be the case for many Tennessee business, but not necessarily all of them. Fiscal years tend to vary from company to company. You should confirm your company’s fiscal year-end date before filing your annual report with the Secretary of State. You can begin filing your report the day after your fiscal year has ended.

How to File Your Tennessee Secretary of State Annual Report:

Tennessee’s Secretary of State strongly recommends filing your annual report online. To do this, you will need to know your state control number. You should have received this number when you registered as a business in the state. But, if you can’t find it, Tennessee provides a business search where you can find this information. Filing online is as simple as filling out the form and providing a credit card or debit card for payment. Note that there is a service fee for paying online. You can submit your online annual report here.

If you prefer to mail your annual report, the state recommends you still use their online portal to complete the required forms. When you complete the required paperwork, you’ll receive the option to submit or print the document. If you click submit, you’ll have filed electronically. So, select print, and then mail those forms with a check to the Secretary of State’s Office.

Tennessee Business Annual Report FAQS

The deadline for you to submit your annual report depends on your fiscal year. Fiscal years vary from company to company.

If you do not file your annual report by the deadline, the state of Tennessee grants you a four-month grace period to submit delinquent reports.

When filing your annual report, you can change the registered agent associated with your company. In addition to the filing fee required to submit your annual report, there is an additional $20 fee to change the registered agent associated with your business.

If you file electronically, you cannot write a check. If you are filing by mail, you can write a check to the Tennessee Secretary of State, although be aware that there is a handling charge of $30 if the state needs to return your check.

You can use the state’s business information search tool to look up your business’ filings. Here, you can see whether a filing has been approved or rejected.
