North Dakota’s Secretary of State office requires businesses to file reports each year. These reports are a necessary matter of compliance because they help ensure that your information is up to date for North Dakota public records. The primary information contained in these public records is structural information about your business. Annual reports allow businesses to make North Dakota aware of any significant changes to their corporate structure, including changes regarding your corporation’s officers.

For North Dakota LLCs, annual reports are due by November 15 each year. Profit corporations must submit by August 1, while non-profit corporations must file by February 1. Foreign corporations must submit their reports by May 15. Not filing could put your company at risk of involuntary revocation and loss of the ability to do business legally in the state. If involuntary revocation occurs, businesses will have to pay a reinstatement fee of $135.
