  • You need to enter more than six officers or six directors, you must file a paper annual report.

How to File Your Illinois Annual Report

It is recommended that businesses complete the filing of the annual report online, though this is not always allowed. There is a $50 fee for this convenience, but it makes the overall process a little bit easier. Here is some basic information to keep in mind for the filing process:

  • Keep an eye out for the correct annual report form. Illinois requires a different version for domestic vs. foreign corporations.
  • Be ready to check your corporate records for the class, number and par value of company shares. These were typically issued at the initial meeting of the corporation.
  • Companies that start out with less than $25,000 in capital will be in the minimum franchise tax category and pay $25. However, capital of $50,000 pays $50 and capital of a million dollars pays $1,000.
  • It is possible to get the franchise tax fee lower by disclosing the gross company assets and gross revenue as you work a complicated equation to figure out what your allocation factor is.
