How to File Your Illinois Annual Report:

It is recommended that businesses complete the filing of the annual report online, though this is not always allowed. There is a $50 fee for this convenience, but it makes the overall process a little bit easier. Here is some basic information to keep in mind for the filing process:

  • Keep an eye out for the correct annual report form. Illinois requires a different version for domestic vs. foreign corporations.
  • Be ready to check your corporate records for the class, number and par value of company shares. These were typically issued at the initial meeting of the corporation.
  • Companies that start out with less than $25,000 in capital will be in the minimum franchise tax category and pay $25. However, capital of $50,000 pays $50 and capital of a million dollars pays $1,000.
  • It is possible to get the franchise tax fee lower by disclosing the gross company assets and gross revenue as you work a complicated equation to figure out what your allocation factor is. Many companies do not choose to provide such details while filing an annual report as competitors can easily get a copy of the report.
