How to File Your Iowa Secretary of State Annual Report

The filing deadline is April 1 of every other year. However, the actual year will depend upon the type of business that is filing:

  • LLCs, LPs, PLLCs, and Nonprofit Entities must file by April 1 of all years ending in an odd number.
  • All Corporations including Professional Corporations must file by April 1 of all years ending in an even number.

This is regardless of the year or month that your business was formed in, and all businesses share the same deadlines based on their entity type.

The fee for any business is $30 if filed online. Mailing in the report increases the filing fee to $45. However, charities and nonprofit organizations pay nothing to file, and any Iowa Cooperative Associations will have a filing fee of just $5.

There are no late fees associated with failure to file your report. However, if you are delinquent for just a few months the state will dissolve your business and revoke your ability to operate in the state. This can lead to additional fees to return your business to full compliance.

No. Iowa does not require you to file an initial report. You simply file the biennial as required by law.
