How Much Is the Fee to File the Pennsylvania Annual Report?
Filing fees for the standard Decennial Reports are a flat $70 for all businesses in the state. But annual reports come with much larger filing fees, which vary depending on the form being filed. LLPs and Professional LLCs must file annual reports.
- Domestic LLPs: $410
- Foreign LLPs: $250
- Domestic PLLC: $460
- Foreign PLLC: $380
- Nonprofits: $0
- Charities: From $15 to $250 depending on gross contributions
These are minimum amounts — the total could be more depending on variables with the business.
When Is the Filing Deadline with the State of Pennsylvania?
A Pennsylvania annual report is filed by LLCs, LPs, Corporations, and PCs. These are filed only in years ending in a 1 — 2021, 2031, and so on — and they’re due by the end of the year.
For annual reports, the forms are due by April 15th each year.
Are Late Penalties Assessed by the State of Pennsylvania?
There are no late penalties for the decennial report. However, you will lose the exclusivity of your name. You may not be able to re-form your business under the same name if another business takes it before you can register it.
For annual reports due from PLLCs and LLPs, the late fee is very large — $500. As such, filing as soon as possible is important.
For charity organizations, the fee is $25 for every month they are late.
Are There Initial Report Requirements for Pennsylvania Businesses?
Not usually. However, any LLP or PLLC that is filed by December 31 will need to file their registration by the following April 15 — less than four months later.
