However, this assumes that there have been no other changes to a company during this timeframe. If a company has changes to its corporate structure, they are required to file an amended Pennsylvania annual report.

The ten-year mark is universal for all companies, unlike other states that have deadlines based upon when an organization became legal. Pennsylvania decennial reports are due in all years ending in “1.” So, the next decennial reports for all businesses is due in 2021. Even a business begins operating in November 2020, the state still requires them to submit a decennial report the following year.

This is an important distinction that businesses need to understand. They should not plan to file a decennial report ten years after the formation of their company. Instead, they should plan to file a decennial report by the deadline established by the Pennsylvania Department of State. Companies have the entire year to file. Businesses, therefore, are required to file their Pennsylvania annual report between January 1, 2021, and December 31, 2021.

Numerous different companies must file a decennial report, including limited liability companies, limited liability partnerships, foreign, nonprofit, and for-profit corporations, limited partnerships, and business trips. If a business makes a filing with the Pennsylvania Department of State to update corporate information in the year prior, they are not required to file a decennial report.

Filing fees for the standard Decennial Reports are a flat $70 for all businesses in the state. But annual reports come with much larger filing fees, which vary depending on the form being filed. LLPs and Professional LLCs must file annual reports.

  • Domestic LLPs: $410
  • Foreign LLPs: $250
  • Domestic PLLC: $460
  • Foreign PLLC: $380
  • Nonprofits: $0
  • Charities: From $15 to $250 depending on gross contributions

These are minimum amounts — the total could be more depending on variables with the business.

A Pennsylvania annual report is filed by LLCs, LPs, Corporations, and PCs. These are filed only in years ending in a 1 — 2021, 2031, and so on — and they’re due by the end of the year.

For annual reports, the forms are due by April 15th each year.

There are no late penalties for the decennial report. However, you will lose the exclusivity of your name. You may not be able to re-form your business under the same name if another business takes it before you can register it.

For annual reports due from PLLCs and LLPs, the late fee is very large — $500. As such, filing as soon as possible is important.

For charity organizations, the fee is $25 for every month they are late.
