Connecticut Business Annual Report FAQS

In Connecticut, businesses are required to file their annual reports by the end of their anniversary month each year. For example, a company formed on October 14 will have until October 31 of each year to file their report.

The Connecticut annual report costs differ based on the type of business that is filing. Here is a breakdown of fees.

  • Domestic Corporations: $150
  • Foreign Corporations: $435
  • LLCs, LPs, and LLPs: $20
  • Nonprofits: $50
  • Charity Annual Renewals: $50

Connecticut actually has no direct late fees for a business that fails to file. However, the business is in default with the Secretary of State until they do file. This can lead to other potential fees and penalties associated with noncompliance. Additionally, Charities do have a late penalty fee of $25.

The state of Connecticut does require that an initial Organization and First Report be filed within 30 days of filing a report. The initial fees are $150 for profit-based corporations. However, this is only for a corporation — LLCs and LPs won’t have to file an initial report.

Anyone who is authorized by the company to do so may file a Connecticut annual report. However, for charity renewals, the renewal must be signed by two of the officers.
