New York businesses can file a biennial report with the Department of State. Businesses have a one-month filing period to file their biennial reports. The state considers the filing period to the be calendar month when the original document was filed. So, for example, if you registered as a business on June 16, 2016 you are eligible to file your biennial statement on June 1, 2018.

The state of New York considers biennial reports to be compliance documents that allow businesses to declare any significant changes that impact the structure of their company. For example, if a business hires a new officer or an existing officer relocates, the company must make Secretary of State’s office aware. Similarly, if a business hires a registered agent or changes their principal address, they’ll need to update this information as well. The filing fee is just $9 for most businesses. However, domestic LLPs will pay $20 while foreign LLPs will pay $50. But, these larger fees are for a five-year period instead of the two-year period that other businesses have to pay.

The filing deadline with the New York Department of State is every two years, during the month that the business was incorporated or first granted authority to operate. For example, if your business was created in March of 2014, you’ll have to file by the end of March in all years ending with an even number.
