What is A Missouri Amendment?

Missouri requires businesses to register with the state so that they can operate legally. It involves the submission of formal paperwork, such as the Articles of Incorporation/Organization. Thus, if your company intends to make changes to any of the items listed on this formation document, you will have to undergo the amendment process.

Reasons Why You Need To File An Amendment

Certain changes require the filing of an amendment. Generally, if the change that your company wants to make affects the formal entity structure of the business, you will have to file an amendment with the state.

A. Changing The Company Name –

  • LLCs

The name of your LLC reflects your company. It has to be something that people can easily recognize and remember. However, there are times when an LLC decides to operate under a new name. In such cases, it is necessary to inform the state of your plan. Submit an amendment. Additionally, you will also have to make sure that all the official records of the company are updated.

  • Corporations

Missouri corporations also need to file an amendment to inform the state of their plan to do business under a new name. Aside from this, your company also has to check all legal records with the state and government. Make sure that they are updated.

B. Changing Members Of The Business –

  • LLCs

The original Articles of Organization of your LLC includes information about members and managers. Aside from the list of names, it also reports the addresses and contact information of these officials. You have to let the state know if there are any changes to these pieces of information. You can do this by filing an amendment form.

  • Corporations

Missouri corporations submitted Articles of Incorporation to the state to register their operations. Among the items that your company listed are the names, addresses, and contact information of all officers and directors. So, you have to inform the state if there are certain changes to these pieces of information by filing an amendment form.

C. Changing Address Related To The Business – The state needs to know the location of your office. They have to be able to access you if they need to. Additionally, keeping them up to date about the company address will ensure that you receive all legal documents addressed to the organization. However, Missouri does not allow companies to update their operating address or registered office through an amendment. You can do this by filing a Statement of Change of Registered Agent and/or Registered Office by a Foreign or Domestic For-Profit or Nonprofit Corporation or a Limited Liability Company. The filing fee is $10.

D. Changing Contact Information –

  • LLCs

The state has to have a way to communicate with your LLC. Generally, your LLC’s registered agent acts as the recipient of all legal documents on your behalf. If there are changes to your registered agent, you need to inform the state. Use the Statement of Change of Registered Agent form and pay the $10 filing fee.

  • Corporations

The same rule applies to corporations. If you plan on changing details related to the registered agent of your corporation, make sure the state knows. You have to file a Statement of Change of Registered Agent form. It comes with a $10 filing fee.

E. Changing The Number Of Shares That A Corporation Is Authorized To Issue – Missouri LLCs do not issue stock. This change is not relevant to them. This item applies to corporations. If your Missouri corporation wants to change its stock plan, you will have to file an amendment. Doing this will inform the state that you are changing the number of shares your company is allowed to sell.
