LLC – Administratively dissolved Massachusetts LLCs also need to submit delinquent annual reports and fees. You also need to get a Certificate of Good Standing and/or Tax Compliance from the Department of Revenue. To get this document, you will have to file a request form online, by fax, or by mail.  

Once you have all the necessary paperwork, file them with the Secretary of the Commonwealth. If you submit by mail or in person, make sure all of the signatures are original. 

Additionally, mailed submissions require the type of document to be specified on the envelope and the inclusion of a money order or check payable to the Commonwealth of Massachusetts. 

Fax filings require a Fax Voucher Coversheet, which you can download from the homepage of the Corporations Division. If you choose this method, you will have to disclose your Visa, Mastercard, debit card, or checking account information. 

Corporation – As for corporations, you will also have to secure a Certificate of Good Standing from the Department of Revenue and settle all delinquent reports and fees. You have the option to limit the reinstatement period of your Massachusetts corporation to a year or less. If you want to reinstate without limitation, you will have to include all the missing annual reports of your corporation for the last 10 fiscal years.

How Long Will This Process Take?

The Secretary of the Commonwealth normally takes 3-5 business days to process mailed reinstatement filings. If you file in person, it will take 1-2 working days. If you fax the documents during working hours, they will finish within the day. However, if you submit at night or on weekends, you will have to wait for 48 hours.

As for the tax clearance, you may have to wait a few days if you file your request online. If you submit in paper form, the Department of Revenue may take 4-6 weeks.

What Cannot Be Changed On The Forms?
