Why Do You Need Missouri Reinstatement For Your LLC Or Corporation?

Noncompliance with state obligations puts your company at risk of suspension or administrative dissolution. At the same time, you may face penalties and lose the benefits for your business entity type until you settle everything through Missouri reinstatement.

What Is Needed To File For Reinstatement?

If you want to restore your company to good standing status, you will have to go through the Missouri reinstatement process. The steps and requirements depend on state laws. In Missouri, an administratively dissolved company can apply for reinstatement with the Secretary of State

You will have to file a completed reinstatement form and follow the guidelines that the office of the Secretary of State will give you. Additionally, you will have to pay for any past-due fees and penalties.

You cannot download the forms online. Instead, you will have to contact their office to obtain copies and instructions called a reinstatement packet. Send your request to any of the following:

Mail: Corporations Division

P.O. Box 778

Missouri corporations will also need to submit a tax clearance letter certifying that it has no taxes due. You can get this document from the Tax Clearance Unit of the Department of Revenue. File a Request for Tax Clearance form signed by one of your company’s officers. You can do this by mail or fax.

Once you have all the necessary documents, file them with the Corporations Division.
