What Is Needed To File For Reinstatement?

Missouri corporations will also need to submit a tax clearance letter certifying that it has no taxes due. You can get this document from the Tax Clearance Unit of the Department of Revenue. File a Request for Tax Clearance form signed by one of your company’s officers. You can do this by mail or fax. 

Once you have all the necessary documents, file them with the Corporations Division.

How Much Will It Cost To Reinstate?

LLC – The reinstatement of a dissolved Missouri LLC comes with a $100 filing fee. You may also have to pay for delinquent fees, penalties, and interest.

Corporation – The filing fee to reinstate a Missouri corporation is $55. You may also have to settle back payments for missed annual reports, late penalties, and interest.

 

How Long Will This Process Take?

The processing time for Missouri reinstatement documents will depend on the method of filing.

If you file in person, the state office will take around 1-2 working days to finish. If they finish sooner, you can expect it the same day. However, you may need to wait a few more days for the return mail.

They normally take 4-7 business days to finish processing mailed and faxed submissions. If you want faster service, you can choose to fax your forms to one of the regional offices.

The state will send you a confirmation copy by mail. You may also access an electronic copy on the website of the Secretary of State.

What Cannot Be Changed On The Forms?

The Missouri reinstatement form does not have a section for changing the registered agent, principal office address, and company officials. However, you can file separate forms for those and add them as attachments to your reinstatement filing. Each of the forms has a corresponding filing fee.
