  1. The Department of Revenue will mail the Certificate of Clearance to your company.
  1. Fill out the Application for Reinstatement form.
  1. Fill out the Business Entity Report form. Pay the corresponding fees for all the years that your company owes. Contact the Secretary of State at (317) 232-6576 or visit their website.
  1. File all the documents with the Secretary of State. You will need the Certificate of Clearance, Application for Reinstatement, Business Entity Report, and money order or check payable to the Secretary of State. You can either submit by mail or in person to this address:

How Much Will It Cost To Reinstate?

LLC – The filing fee for reinstating an administratively dissolved LLC in Indiana is $30. The biennial report cost $30 each.

Corporation – The Application for Reinstatement comes with a $30 filing fee. As for the biennial business report, it costs $30 each.

 

How Long Will This Process Take?

The normal processing time for Indiana reinstatement filings varies depending on when the Secretary of State received them.

  •   If they receive the documents before noon, they will file it by noon of the next business day.
  •   If they receive them in the afternoon, they will file them on the second business day.
  •   They file all mailed in documents within 3-5 days.

As for the Department of Revenue, they process tax clearances in approximately 2 weeks. However, if there is a heavy backlog, they may take 4-6 weeks.

Meanwhile, the Business Entity Report requires the following information:

  •   Entity Name
  •   Principal Office Address
  •   Current Filing Year
  •   Past Filing Years That You Reported In The Form
  •   Date Of Incorporation Or Formation
  •   State Where You Established The Company
  •   Type Of Business Entity
  •   Name And Address Of The Registered Agent
  •   Name And Address Of The Highest Officer
  •   Name And Address Of The Current Secretary Or Other Officer, If Applicable
  •   List Of The Names And Addresses Of The Officers And Directors, If You Are A Corporation
  •   Signature Of An Authorized Company Official

What Cannot Be Changed On The Forms?

You cannot change your registered agent on the Indiana reinstatement form. You will have to file a Notice of Change of Registered Office or Agent with the Secretary of State.

If you need to change your principal office address, use the Notice of Change of Principal Office Address form or include it in case you file for an amendment. 

The Application for Reinstatement also does not have a section where you can change the company officials. However, you can update the information on your biennial Business Entity Report.
