LLC – An administratively dissolved Michigan LLC has to file a Certificate of Restoration of Good Standing with the Department of Licensing and Regulatory Affairs (LARA). You also have to submit delinquent annual statements and their corresponding fees.

You can submit your documents to LARA by mail or in person. If you file by mail, include the money order or check payable to the State of Michigan. Walk-in filings require payment by Mastercard or Visa.

Corporation – Michigan corporations have to file a Certificate of Renewal of Corporate Existence with LARA. You also need to submit all past-due annual reports and fees. You can download the form online or draft your own.

Mailed filings require a money order or check payable to the State of Michigan. If you choose to file in person, your payment options are Visa or Mastercard only.

How Much Will It Cost To Reinstate?

LLC – The filing fee for the Certificate of Restoration of Good Standing is $50. Each annual statement costs $25. Michigan does not have late penalties for past-due reports of LLCs. If you want expedited service, you will have to pay an additional fee.

What Cannot Be Changed On The Forms?

LLC – You cannot change the principal address of the LLC or update the names and addresses of its members or managers on the Certificate of Restoration of Good Standing.

Corporation – You cannot change the principal address or update the pieces of information related to the officers and directors of the company using the Certificate of Renewal of Corporate Existence form. You cannot change your registered agent as well.

LLC – You can change the name and office address of your registered agent on the Certificate of Restoration.

Corporation – You cannot change the name and office address of your registered agent on the renewal form. Instead, do this by filing a Change of Agent form or updating the information in your company’s annual statement.

The state does not administratively dissolve a company after it fails to file an annual statement. It will do so only after two missing reports. However, it does not have a maximum number of missing reports that will prohibit you from reinstating.
