Why Do You Need A Texas Reinstatement For Your LLC Or Corporation?

When a company falls into bad standing, it may have to face noncompliance fines, and it will not be able to do business legally. Texas reinstatement is the process involving the settlement of issues and restoration of good standing status.

What Is Needed To File For Reinstatement?

If a company wants to get back into good standing with the state, it has to correct its mistakes through the reinstatement process. The steps to take and paperwork to file will depend on state laws.

In Texas, the first thing an administratively dissolved company has to do is to conduct a name availability search. You can do so on https://direct.sos.state.tx.us/acct/acct-login.asp. However, you will have to pay $1 every time you log in to this site. An alternative way is to call the Secretary of State’s office at (512) 463-5555.

The reinstatement form an administratively dissolved company has to submit will depend on the cause of its termination. If the company’s involuntary termination is due to missed annual franchise tax report filings, you will have to file an Application for Reinstatement and Request to Set Aside Tax Forfeiture. If the cause of forfeiture is the failure to maintain a registered agent, use the Certificate of Reinstatement form.

Aside from the appropriate reinstatement form, you will need to submit a Tax Clearance Letter to the Comptroller of Public Accounts. You will have to fill out and file a Tax Clearance Letter Request for Reinstatement form to obtain this document.

How Much Will It Cost To Reinstate?
