Ohio does not require an annual report for LLCs or corporations. Unlike most states, Ohio has no yearly or biennial report, statement of information, or franchise renewal that a limited liability company or a for-profit or nonprofit corporation must file with the Ohio Secretary of State simply to stay in good standing. Once your entity is formed and on record, there is no recurring state report to submit each year to keep it active.
What this means for your Ohio business
Because there is no annual or biennial report requirement, there is nothing to file each year with the Ohio Secretary of State for a standard Ohio LLC or corporation, and no annual report state fee to budget for. Your entity remains in existence without an annual filing, so long as it is not otherwise dissolved or cancelled.
Keep in mind that a few obligations are separate from an annual report and may still apply to your business: maintaining a statutory agent on file with the Secretary of State, filing amendments when your company information changes, and meeting any tax or licensing requirements administered by the Ohio Department of Taxation or your local jurisdiction. Certain entity types, such as limited liability partnerships, do have their own periodic filing that is distinct from a corporate or LLC annual report.
