Filing a Nebraska Annual/Biennial Report with the State
If you conduct business in the state of Nebraska, it’s important that you declare to the Secretary of State’s Office that you are still in operation by filing an Biennial Report every other year. Limited Liability Partnerships must file a report annually by April 1st.
The state of Nebraska requires all corporations and LLCs to file a Biennial Report every other year. Failure to do this could jeopardize your standing as a business in the eyes of the Secretary of State Department. That’s because they office considers Biennial Reports to be a matter of compliance.
When you file your reports, you’ll include information such as who your corporate officers are, who your registered agent is, and the address where your company primarily conducts business. By filing reports, you inform the Secretary of State of any changes that have occurred over the past two years.
You cannot use annual reports to make any changes to your business. Instead, the reports are merely used to report on any changes that have already occurred. If you want to make changes to your business, such as making a change to your company name, you’ll need to file additional paperwork with the Secretary of State’s office.
