A business may be dissolved for several reasons. These reasons may include falling out of compliance with state regulations, or even personal circumstances such as illness or retirement. But even after a business has been dissolved by the state, there are some circumstances that make it possible to return through “Business Reinstatement.”

A registered agent is not required for every single type of business. For example, an entrepreneur operating a sole proprietorship and working from home or in another small business setting will not require a registered agent.

However, a registered agent is legally required if a business is classified as a Limited Liability Company or LLC. This is because LLCs have a more complex legal framework, and states need a verifiable mailing address authorized to receive all official documents relating to the company. These documents can be anything from permits issued by the state government to a lawsuit notice. So, a registered agent, as well as the choice of mailing address, should be carefully considered.

For Business Reinstatement

When it comes to business reinstatement, a registered agent is often one of the requirements for reinstatement approval. In some cases, a business may be involuntarily dissolved by the state because that company did not have a registered agent and therefore was not following legal regulations.

During reinstatement, a company must show that it has a registered agent with a verifiable mailing address. Post office boxes are not considered valid. However, while they may be, the registered agent does not have to be an owner, partner, shareholder, or even company staff member. Other businesses, such as those that provide reinstatement or LLC formation services, may also offer registered agent services in the state of operation.

Choosing a registered agent that is experienced with the reinstatement and LLC formation process will benefit by having access to knowledge about state regulations, and they provide sound guidance on the appropriate actions that need to be taken to ensure the reinstatement process goes smoothly.
