A DBA stands for “Doing Business As.” If an individual operates a sole proprietorship under a name different then their legal name, then a DBA is required. The same is true for a
Corporation or LLC that plans on conducting business under a name different from their
legal business name. In some jurisdictions a DBA can also be referred to as a “Trade Name”, “Assumed Name” and more commonly a “Fictitious Name.”
Examples:
Sole Proprietorship
Brad Smith (an individual) wanted to do business as “Flat Top Landscaping.” In order for Brad to legally conduct business under a name different then his legal name, a DBA needs
to be filed.
LLC
Jonathan the owner of Market's & More, LLC has decided to open up a furniture store next door to his grocery store and knock the wall down and connect the two stores.
Jonathan has decided not to open another LLC for this business venture. He has decided to file a DBA for his current LLC so he can do business as Furniture & More.
Once completed, Market's & More, LLC will be able to conduct business as Furniture & More as well.
DBA's are most commonly filed for sole proprietors that are looking to open up a business bank account and for existing corporation and LLC's that want to conduct business under a
business name that differs from their legal name.
Additional Requirements
After a DBA filing is completed there are some jurisdictions that require the filing be published in the newspaper. The publication must run in authorized newspapers pursuant to
DBA filing requirements set forth in that jurisdiction.
Usually publication is required to be completed with in the first 1-3 months after the DBA was approved. Publication generally includes the DBA name, business address and who filed
